The guidelines for selection of name of LLP is contained in LLP Act and rules made thereunder. One of such guidelines are that the proposed name of LLP must not be identical or similar to an existing registered LLP or LLP name or trademark.
LLP Name Approval Guidelines.
On account of Identical or Similar Names
The desired or proposed name of LLP must not be identical or similar to an existing company name or LLP. The exact english or hindi translation of existing LLP or phonetic resemblance is not permissible. Further, inclusion of name of any place in the name, similar to the name of LLP or Company under liquidation of stick off upto period of 5 years, similar or identical to the name of LLP or company registered outside india is not permissible.
Use of Trademark
The proposed name of LLP must not include the name of trademark registered or applied Unless the consent of the owner of the mark or the applicant is obtained before such application.
Business Constitution
Proposed name of LLP must not inlcude include words co-operative, sehkari, or equivalent of word ‘co-operative’ in the regional language of the country.
Offensive Words
The Proposed name of LLP shall not included any words which are offensive for any section, cast or category of society.
Association or Patronage
The proposed name of LLP must not include the words British India, imply association or connection with embassy or consulate or a foreign government, central government or state government. Inclusion of name of country like France, German or British not permissible unless any collaboration or association with the foreigners of that country or place is satisfied by partners.
Name require Approval
If the proposed name of company includes words like ‘Insurance’, ‘Bank’, ‘Stock Exchange’, ‘Venture Capital’, ‘Asset Management’, ‘Nidhi’, ‘Mutual fund’ etc., or any other financial activity may require approval from Regulatory Bodies like RBI, SEBI, IRDAI, etc. Similarly, inclusion of any profession name like company secretary, chartered accountants, advocates or such similar words indicative of a profession shall be allowed only after approval from particular council.
