Why Company Name Approval is required.
Selection of an attractive and optimistic name is the first step in incorporation or registration of company in India. An attractive or catchy name is very important as it will help in building the brand of the company and easy to remember for public at large. While selection of name of company there are various important things or guidelines to be kept in mind. The company name availability tool is provided by TaxMuneem to help the users/ entrepreneurs to verify the name availability in Ministry of Corporate Affairs (MCA) database. This tool only provide the names of already registered companies and the ultimate authority to approve an applied name of company rest only with Ministry of Corporate Affairs (MCA). The guidelines for selection of name of company is contained in Companies Act, 2013 and rules made thereunder. One of such guidelines are that the proposed name of company must not be identical or similar to an existing registered company or LLP name or trademark.
Company Name Approval Guidelines.
On account of Identical or Similar Names
The desired or proposed name of company must not be identical or similar to an existing company name LLP. Further, inclusion of company, co. or similar words, plural version, type of case, joining or separating words different tense, different spelling and spacing (including phonetic), addition of title words like shree, jai, sai etc, place, and other making small difference will be considered undesirable and will not entitlement of proposed name.
Use of Trademark
The proposed name of company must not include the name of trademark registered or applied Unless the consent of the owner of the mark or the applicant is obtained before such application.
Business Constitution
Proposed name of company must not inlcude include words that are indicative of a separate type of business constitution or legal person or any connotation. Like, co-operative, sehkari, trust, LLP, partnership, society, proprietor, HUF, firm, Inc., PLC, GmbH, SA, PTE, Sdn, AG etc.
Offensive Words
The Proposed name of company shall not included any words which are offensive for any section, cast or category of society.
Foreign Issues and Association
The proposed name of company must not include the words British India, imply association or connection with embassy or consulate or a foreign government, national hero or important personages who occupied or are occupying important positions in Government
Name require Approval
If the proposed name of company includes words like ‘Insurance’, ‘Bank’, ‘Stock Exchange’, ‘Venture Capital’, ‘Asset Management’, ‘Nidhi’, ‘Mutual fund’ etc., or any other financial activity may require approval from Regulatory Bodies like RBI, SEBI, IRDAI, etc.,
Other Restrictions
The proposed name of company shall not include the name of foreign country or any city in a foreign country with some exception, restricted words without central government approval like Board, Commission, Authority, Undertaking, Central, Union, Bureau, etc., use of word scheme with name of government resembling the scheme of any government.
