Company Registration – New e-AGILE form.
Current process (before amendment in the Company incorporation rules) for Company Registration involves the following process:-
- Name Approval of company by filing RUN (Reserve unique name).
- SPICe (INC-32) form along with SPICe AOA and SPICe MOA wherein all details detail are filled, Necessary documents are attached in this form only, Application for PAN and TAN are also made in this form. Further, Director Identification Number (DIN) are also applied through this form only.
Change in Registration Process
Recently the Ministry of Corporate Affairs vide its notification dated 29th March, 2019 notified Companies (Incorporation) Third Amendment Rules, 2019, in which a new Sub rule 38A is inserted after rule 38 for making it mandatory to file Application for Goods and Services Tax Identification (GSTIN) Number, Employees State Insurance Corporation (ESIC) registration & Employees Provident Fund Organization (EPFO) registration at the time of Company Registration.
The new form INC-35 (e-AGILE) stands for Application for Goods & Service Tax Identification Number, Insurance Company Registration plus Employees Provident Fund Organization and is required to be filed along with SPICe at the time of Company Registration, as linked form.
Although, it is optional to apply Goods and Services Tax Registration identification number (GSTIN), ESIC registration Number, EPF Registration at the time of company registration, filing of INC-35 (e-AGILE) form along with SPICe form is mandatory but the user have option to tick in only those boxes in which it wants to get registered.
Few other points to be kept in mind about the new INC-35 (e-AGILE) form.
- The registered office of the proposed company as provided in the SPICe shall be the principal place of business for GST application and no other address can be selected.
- The INC-35 (e-AGILE) form shall be signed by the same director who singed SPICe at the time of company registration.
- No separate fee is prescribed for filing the new INC-35 (e-AGILE).
